These terms apply to the INSIDEA referral program described at insidea.com/refer. The program is run by Insidea, Inc., a Delaware corporation ("INSIDEA"). By submitting a referral you accept these terms. If the questions on /refer and these terms ever differ, these terms apply.
1. Who can refer
Anyone can refer a company, including INSIDEA clients, advisors, investors, former colleagues, and friends. You cannot earn a reward if you are an INSIDEA employee or contractor, if you are an employee or officer of the company you refer, if you are advising that company on its choice of provider, or if the law or your employer does not allow you to accept the reward.
2. Making a referral
A referral counts only when it is submitted through the form at insidea.com/refer. Introductions by email, message, or phone are welcome but are not recorded as referrals on their own. If two people refer the same company, the first valid form submission counts. You confirm that you are allowed to share the contact details you submit.
3. Which companies count
The referred company must be new to INSIDEA. It does not count if it is already an INSIDEA customer, is in an active conversation or open deal with INSIDEA, or was referred first by someone else. A sister or portfolio company counts when it is a separate business with no current engagement or open deal with INSIDEA. A company that spoke with INSIDEA before counts when there has been no open deal or active conversation for six months. A former client counts when it has not worked with INSIDEA for twelve months. INSIDEA tells you when it receives your referral whether the company is eligible.
4. When a reward is earned
A reward is earned when the referred company signs an engagement with INSIDEA and pays its first invoice, within twelve months of the date you submitted the referral. Any INSIDEA service counts, including onboarding, a project, or a retainer. A signed contract on its own does not earn a reward.
5. The reward
The reward is $1,000, or $2,500 when the referred company's first payment to INSIDEA is more than $25,000. The $2,500 replaces the $1,000 and is not added to it. The amount is set by that first payment and does not change later. There is one reward per referred company, and no limit on how many companies you can refer.
6. Payment and tax
INSIDEA pays the reward within 30 days of the referred company's first invoice being paid, in US dollars by bank transfer, or as a credit on your next INSIDEA invoice if you are a client and ask for that. It is paid to you, or to your company if your employer's policy requires it. You provide the bank details and any tax form INSIDEA reasonably asks for. You are responsible for any tax on the reward, and INSIDEA may withhold tax where the law requires it.
7. Refunds and fraud
The reward stands if the referred company later ends its engagement. If INSIDEA refunds the first invoice, no reward is due, and any reward already paid for it must be returned. No reward is due for a referral that involves fraud, false information, or a breach of section 8, and INSIDEA may recover any reward paid for one.
8. Honest dealing
You describe INSIDEA accurately and make no promises on its behalf. You do not offer or share the reward, or anything else of value, with anyone at the referred company. If the referred company asks, INSIDEA confirms that the referral carries a reward, and we suggest you mention it when you make the introduction.
9. INSIDEA's decisions
INSIDEA decides in good faith whether a referral is eligible and whether to work with a referred company, and sets its own scope, price, and terms with that company. Referring a company does not guarantee that it will become a customer.
10. Privacy
INSIDEA handles the details you submit, and the referred company's details, under its Privacy Policy.
11. Changes to the program
INSIDEA may change or end the referral program at any time by updating this page. A referral submitted before a change stays on the terms that applied when it was submitted.
12. Law and contact
These terms are governed by the laws of the State of Delaware, United States. Questions about the program go to Denzil Charles, who runs partnerships at INSIDEA, at denzil@insidea.com.
